Hi ! I came across the same problem with Virtuozzo based virtualization nodes. This might be due to vzkernel within VMWare 6.5 which no longer fully supports kernels 2.6 on vm's (especially if you're using the new intel silver cpus). Please try to boot the VM using older kernels see if that makes a difference?
