To Whom This May Concern The proposal below relates to an invitation to bid for a project requiring the drafting of a commercial contract as between the client and a manufacturer. Instruction: draft an agreement as between the client and manufacturer, the essential terms of which prohibit the manufacturer from selling products, other than those designed by the client (in other words, an exclusivity provision). Additionally the client requires a confidentiality clause. I have drafted many commercial agreements for large corporate entities and for individuals with similar selling restrictions/exclusivity provisions and confidentiality clauses. I have the requisite drafting expertise and experience as well as extensive knowledge of contract law and the principles relating to the enforceability of valid contracts.
